Actavis issues regulatory filing to comply with Irish company-takeover rules

PARSIPPANY, N.J. — Actavis is continuing to pursue a plan to buy Irish drug maker Warner Chilcott, as the U.S.-based company announced Tuesday its total number of shares and share-purchase options in order to comply with Ireland’s merger-and-acquisition rules.

Actavis listed about 133.3 million ordinary shares, 1.5 billion restricted shares and 1.26 options to purchase ordinary shares.

The company, which is the world’s third-largest generic drug maker, said Friday that it was in talks to buy Warner Chilcott, but that no agreement had been reached and that it wouldn’t issue further comment about the matter.

Last month, a proposal by Canadian drug maker Valeant Pharmaceuticals International to buy Actavis for more than $13 billion was put off when the two companies failed to reach an agreement.

In other news, Actavis said it canceled its presentation at the Bank of America Merrill Lynch Healthcare Conference, which had been scheduled to take place Tuesday in Las Vegas.

Oscar Mayer adds new innovations for grilling season

MADISON, Wis. — Oscar Mayer announced this week the addition of five new hot dog innovations featuring bacon, sausage, chicken breast, lean and extra lean varieties available this summer.

Beginning in June, consumers nationwide will be able to purchase two Oscar Mayer hot dogs perfect for the summer grill, including the Bacon Dog and Smokies Smoked Sausages.

The Bacon Dog is the first bacon hot dog on the market, according to the company. It is made with hardwood-smoked, authentic Oscar Mayer bacon.

"No one knows bacon like Oscar Mayer," said Jared Baker, director of Oscar Mayer hot dogs. "We know Americans love bacon, and we know they love hot dogs, so it seemed like the perfect time for us to introduce our first hot dog made with bacon."

And Oscar Mayer is bringing back Smokies. The new Oscar Mayer Smokies Smoked Sausages will be sold in full 14-oz., 8-count packages. They are made with coarse ground pork and beef, and smoked with hardwood.

The company also is adding to its line of Selects hot dogs. The new Chicken Breast Hot Dog will continue with the Selects tradition of using no artificial preservatives, flavors or colors. Additionally, the hot dog is made with high-quality chicken breast, contains no added hormones and is completely gluten-free.

The company also announced it has re-branded its 98% Fat Free Wieners and Light Beef Franks as Extra Lean Franks and Lean Beef Franks, respectively. The new Lean and Extra Lean Franks are full-bun length and include lean cuts of quality meat.

The complete line of Oscar Mayer dogs and franks can be found in the refrigerated meat case in most grocery stores and supermarkets nationwide.

Rite Aid launches Nail Extravaganza contest

CAMP HILL, Pa. — Rite Aid is sponsoring its second annual nail-art contest, the retail pharmacy chain said Tuesday.

Rite Aid announced the launch of its "Nail Extravaganza," based around the two-round "Search for the Rite Aid Nail Enthusiast" contest; the first round runs through May 24. Contestants compete for 20 prizes by submitting nail designs at Riteaidnails.com.

"After the tremendous success of last year’s Nail Extravaganza in stores and online, it was an easy decision to bring Rite Aid’s hottest beauty contest back this year," Rite Aid VP marketing Craig Riner said. "Nail fans everywhere will love the new site additions, including an interactive database of nail designs, regularly updated tips from beauty experts, and trend videos from the contest’s 16 sponsors, who are respected leaders in the beauty industry."

On May 24, the 20 contestants who receive the most votes will receive a palette of nail products from sponsors like L’Oreal, Maybelline Color Show, Sally Hansen, Kiss, Essie, SensatioNail and others. Starting June 10, the 20 new designs will be judged for originality, complexity and visual appeal by a panel of three judges that includes Revlon SVP Annette Falso, Kiss Nail Dress brand ambassador and "Nail Files" reality show cast member Katie Cazorla and beauty blogger Julie G.

The grand prize winner will be chosen by scoring the expert judges’ votes as 40% of each contestant’s tally with the remaining 60% based on the public vote. The grand prize winner will receive a $500 Rite Aid gift card, nail products from suppliers that only sell their products in Rite Aid, the opportunity to be featured in the chain’s nail promotional materials and a year of Gold status in the Wellness+ loyalty-card program.
